The University of Ottawa Heart Institute (UOHI) is Canada’s largest and foremost academic cardiovascular health centre dedicated to understanding, treating and preventing heart disease. Call for Board Director Nominations

The University of Ottawa Heart Institute is seeking four nominees to join the Board of Directors beginning in June 2024.

The Board’s Philosophy

The Board of Directors is responsible under law for the management of the Institute’s business and its affairs which is accomplished through the appointment of a President and CEO, to whom day to day leadership is delegated. The Board has statutory authority and obligation to act honestly and in good faith with a view to the best interests of the Institute. Although Directors are elected to bring special expertise and points of view to Board deliberations, the best interests of the Institute, including key stakeholders must be paramount at all times.

The Board’s philosophy is to exercise its oversight role through the adoption of policies and procedures that clearly delineate between the role of the Board and of management. The Board further exercises its oversight role by its approval of the Institute’s strategic plan, as modified from time to time and the receipt of reports which confirm compliance with policies and regulatory requirements and progress against the strategic plan.

The Board as a whole or through its various committees shall attend to the overall stewardship of the Institute. There are nine basic responsibilities of the UOHI Board:

  1. Determine the Institute’s Vision, Mission and Principles
  2. Selection of the CEO & Succession Planning for Board of Directors
  3. Support the CEO and Review their Performance
  4. Ensure Effective Organizational Planning
  5. Ensure Competent and Responsible Governance of the Institute
  6. Ensure Adequate Resources and Effective Resource Management
  7. Oversee the Institute’s Operations
  8. Enhance the Institute’s Public Image
  9. Assess Board Performance

Experience factors and qualifications

  • Knowledge and experience of governance practices;
  • Knowledge and experience working with government agencies and public policy;
  • Experience and expertise in public relations and communications;
  • A background in legal affairs;
  • A background in IT and cybersecurity; and,
  • Bilingualism an asset.

Expectations of Board Directors

We are seeking individuals who are passionate about heart health and Board member role. Key expectations of Board Directors are:

  • Preparation and Attendance: To prepare for meetings by reviewing all materials and maintaining strong meeting attendance and participation. (The Board holds four meetings annually).  
  • Conduct: Exercise their judgment and act honestly, in good faith, and with integrity.
  • Compliance: Ensure they comply will all policies and maintain confidentiality ensuring that the best interests of the members and the Institute are paramount.
